Mobile Application Terms (EULA)

1. Introduction and Scope
These Mobile Application Terms ("App Terms" or "EULA") are an end-user licence agreement between you and Internetivo Ltd ("Internetivo", "we", "us", "our"), an EU-registered company. They govern your download, installation, and use of the IVO mobile application for iOS and Android (the "App").
These App Terms are supplemental to, and incorporate by reference, the IVO Terms of Service (the "master ToS"), the IVO Privacy Policy, and the IVO Acceptable Use Policy ("AUP"). Defined terms used but not defined here have the meaning given in the master ToS. If there is a conflict on a matter specific to the App, these App Terms prevail to the extent of that conflict.
By downloading, installing, or using the App, you agree to these App Terms. If you do not agree, do not install or use the App.
2. Eligibility
You must be at least 18 years old and have the legal capacity to enter into these App Terms. The App is not directed at and may not be used by persons under 18. By using the App, you represent that you meet these requirements.
3. Licence Grant
3.1 Grant
Subject to your compliance with these App Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the App for your personal or internal business use on a mobile device that you own or control, solely to access the Platform.
3.2 Prohibited Uses
You must not:
- Copy, modify, distribute, sell, rent, or sublicense the App
- Reverse engineer, decompile, or disassemble the App, except to the limited extent such restriction is prohibited by applicable law
- Remove, alter, or obscure any proprietary notices in the App
- Use the App to breach the master ToS, AUP, or applicable law, or to interfere with or circumvent the security, authentication, or rate limiting of the Platform
- Use the App on a device that has been modified in a way that compromises its security in order to bypass Platform controls
- Use the App to infringe the rights of other Users or third parties
4. Relationship to Other Terms
Your use of the App, and of the Platform through the App, is governed by the master ToS, the Privacy Policy, and the AUP in addition to these App Terms. This includes the provisions of the master ToS on accounts, escrow, fees, payments, disputes, suspension and termination, and limitation of liability.
5. App Store Terms
5.1 Application
You acquire the App through a third-party application marketplace (such as the Apple App Store or Google Play). Your download and use of the App is also subject to the terms, rules, and usage policies of the marketplace from which you obtained it (the "Store"). These App Terms are between you and Internetivo only, not with any Store. To the extent of any conflict between these App Terms and a Store's applicable terms regarding the App, the Store's minimum required terms apply for that App as obtained from that Store.
5.2 Apple App Store Terms
For Apps obtained from the Apple App Store, the following additional terms apply:
- These App Terms are concluded between you and Internetivo only, and not with Apple Inc. ("Apple"). Internetivo, not Apple, is solely responsible for the App and its content.
- The licence granted to you is limited to a non-transferable licence to use the App on any Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.
- Apple has no obligation to furnish any maintenance or support services for the App.
- Apple is not responsible for any product warranties, whether express or implied. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App; to the maximum extent permitted by applicable law, Apple has no other warranty obligation with respect to the App.
- Apple is not responsible for addressing any claims by you or any third party relating to the App or your possession or use of it, including product liability claims, claims that the App fails to conform to any legal or regulatory requirement, and claims arising under consumer protection or similar legislation.
- Apple is not responsible for the investigation, defence, settlement, or discharge of any third-party claim that the App or your use of it infringes that third party's intellectual property rights.
- You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
- Apple and Apple's subsidiaries are third-party beneficiaries of these App Terms, and upon your acceptance Apple has the right (and is deemed to have accepted the right) to enforce these App Terms against you as a third-party beneficiary.
5.3 Google Play Terms
For Apps obtained from Google Play, your use is additionally subject to the Google Play Terms of Service and any applicable usage rules. To the extent those terms require, they govern the relationship between you and Google with respect to the App, and Internetivo, not Google, is responsible for the App and any support or warranty obligations relating to it.
6. Device Permissions
The App may request the following device permissions to provide its features. You can grant or revoke these permissions at any time through your device settings, although some features may not work without them:
- Notifications - to deliver transactional and, where you opt in, other notifications.
- Location - optional precise location, used only if you grant it, for features such as local task discovery. This can be revoked at any time.
- Camera and photos - to capture or upload documents and images for identity verification (KYC) and for task attachments.
How we handle the personal data collected through the App, including these permissions, is described in the Privacy Policy. Your account credentials are held in secure device storage on your device.
7. Updates and Continued Use
We may release updates, upgrades, and patches to the App, which may be downloaded and installed automatically by your device or Store. Some features depend on running a current version, and older versions may stop working or lose support over time. You are responsible for keeping the App reasonably up to date. We may also change, suspend, or discontinue features of the App at our discretion.
8. Payments, Purchases, and Payouts
Any in-app purchases, escrow funding, Payouts, Credit, and fees accessed through the App are subject to the payment terms in the master ToS, including the 10% platform fee and the escrow and Payout provisions. Where a purchase is processed through a Store's billing system, that Store's payment, refund, and billing terms also apply to that transaction. Credit is a prepaid, EUR-denominated, non-cashable balance usable only to purchase services on the Platform; Payouts are amounts Internetivo owes you for services you have supplied, settled in EUR. Neither is electronic money, a deposit, or a financial instrument.
9. Warranty Disclaimer, Liability, and Indemnity
9.1 No Warranty
The App is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, security, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or compatible with every device.
9.2 Limitation of Liability
To the maximum extent permitted by applicable law, Internetivo's total aggregate liability to you arising out of or in connection with the App or these App Terms shall not exceed the greater of (a) the total Platform fees you paid in the 12 months preceding the claim, or (b) EUR 500. Internetivo shall not be liable for any indirect, incidental, special, exemplary, or consequential damages, including loss of profits, loss of data, or loss of goodwill. Internetivo is not liable for the acts or omissions of Nodes, Stores, or third-party providers.
9.3 Indemnification
You will indemnify, defend, and hold harmless Internetivo, its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the App, your breach of these App Terms, your violation of any law, or your infringement of the rights of any third party.
10. Export Control and Sanctions
You must comply with all applicable export control, trade, and economic sanctions laws of the European Union, the Republic of Cyprus, and any other applicable jurisdiction. You must not use or export the App in violation of such laws, and you represent that you are not a person or entity with whom dealings are prohibited under applicable sanctions.
11. General
11.1 Termination
These App Terms remain in effect while you use the App. The licence terminates automatically if you breach these App Terms or the master ToS, or if you uninstall the App. We may suspend or terminate your access as described in the master ToS. Termination of these App Terms does not affect obligations arising from active Tasks, outstanding payments, or pending Disputes.
11.2 Incorporation and Survival
The master ToS, Privacy Policy, and AUP are incorporated by reference. Provisions concerning intellectual property, warranty disclaimers, limitation of liability, indemnification, export control, and governing law survive termination. The survival, severability, no-waiver, entire-agreement, assignment, force majeure, and change-notice provisions of the master ToS apply to these App Terms.
11.3 Changes to These App Terms
We may update these App Terms from time to time. We will notify of material changes at least 30 days before they take effect where practicable. Continued use of the App after the effective date constitutes acceptance.
11.4 Governing Law and Jurisdiction
These App Terms are governed by the laws of the Republic of Cyprus and EU law where applicable. Subject to the arbitration clause in the master ToS, you submit to the exclusive jurisdiction of the courts of Cyprus.
Experimental Features, Assumption of Risk, and Waiver
The Platform and its features are provided on an "as is" and "as available" basis and may include experimental, beta, preview, or in-development features that may be incomplete, may change or be withdrawn at any time, may not work as intended, and may produce errors. You use the Platform and any such feature at your own risk, and you are responsible for keeping your own backups of important data and files. To the maximum extent permitted by applicable law, Internetivo gives no warranty of any kind and has no liability for, and you release Internetivo from and waive any claim arising from, software bugs or defects, errors, downtime or unavailability, loss of or damage to data or files, failed or delayed transactions, or any other technical issue, including any direct, indirect, or consequential loss. You agree to report any bug, defect, or issue, and any feedback, by opening a support ticket; doing so does not entitle you to any payment, credit, refund, or compensation.
To the maximum extent permitted by applicable law, you are not entitled to and waive any claim for reimbursement, compensation, refund of fees, damages, returns, or other monetary relief from Internetivo arising from these matters. This does not apply to your Credit balance, any Payouts owed to you, or amounts held in escrow for your tasks, which are handled under the Terms of Service and the Refund and Cancellation Policy. Nothing in this section excludes any liability that cannot be excluded under applicable law (including for death or personal injury caused by negligence, fraud, or gross negligence) or your mandatory rights as a consumer or data subject.
