SDK Licence and Terms

1. Introduction and Scope
These SDK Licence and Terms ("SDK Terms") govern your use of the IVO TypeScript software development kit, published as @internetivo/sdk on the npm registry (the "SDK"), made available by Internetivo Ltd ("Internetivo", "we", "us", "our"), an EU-registered company.
The SDK is a client library that helps you build integrations against the IVO HTTP API. Your use of the SDK is also subject to the IVO API Terms of Use ("API Terms") and the IVO Terms of Service (the "master ToS"), each of which is incorporated by reference. Defined terms used but not defined here have the meaning given in the master ToS or API Terms. If there is a conflict on a matter specific to the SDK, these SDK Terms prevail to the extent of that conflict.
By installing, copying, or using the SDK, you ("you", the "Developer") agree to these SDK Terms. If you do not agree, you must not use the SDK.
2. Licence Grant
2.1 Grant
Subject to your compliance with these SDK Terms, the API Terms, and the master ToS, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the SDK solely to build, test, and operate integrations that interoperate with the IVO API.
2.2 Permitted Uses
You may use the SDK to develop and run your own applications and integrations against the documented IVO API, and to evaluate the SDK for that purpose.
2.3 Prohibited Uses
You must not:
- Reverse engineer, decompile, or disassemble the Platform, or use the SDK to do so, except to the limited extent such restriction is prohibited by applicable law
- Use the SDK to replicate, clone, or build a product or service that substantially reproduces the Platform's functionality
- Remove, alter, or obscure any copyright, trademark, licence, or other proprietary notices in or accompanying the SDK
- Redistribute, resell, or sublicense the SDK as a standalone product, or represent it as your own
- Use the SDK to circumvent the API's rate limits, authentication, or other controls, or otherwise in breach of the API Terms or AUP
- Use the SDK in any way that infringes the rights of Users or third parties, or that breaches applicable law including the GDPR
3. Third-Party and Open-Source Components
The SDK may include or depend on third-party and open-source software components that are licensed under their own terms. Those components remain governed by their respective licences, and nothing in these SDK Terms limits your rights or obligations under those licences. Where a conflict exists between these SDK Terms and a third-party licence in respect of that component, the third-party licence governs for that component. You are responsible for reviewing and complying with the licences of components you redistribute as part of your application.
4. Versioning, Updates, and Security
4.1 Versioning and Deprecation
The SDK is versioned. We may release new versions, change behaviour, deprecate features, or discontinue the SDK at any time. The SDK targets the documented IVO API, which may itself change as described in the API Terms; we do not guarantee that any given SDK version will remain compatible with the API indefinitely.
4.2 Staying Current
You are responsible for keeping your installed version of the SDK reasonably current, including applying security and compatibility updates. We are not responsible for issues, vulnerabilities, or incompatibilities arising from your use of outdated, modified, or unsupported versions of the SDK.
4.3 No Obligation to Maintain
We have no obligation to provide updates, maintenance, support, or bug fixes for the SDK unless agreed separately in writing.
5. Intellectual Property
5.1 Ownership
The SDK and all intellectual property rights in it (other than third-party components licensed under their own terms) are owned by or licensed to Internetivo. Except for the licence expressly granted in Section 2, no rights are transferred to you.
5.2 Trademarks
"Internetivo", the IVO name and logos, and EUIPO registered trademark 019029107 are trademarks of Internetivo. You may make nominative reference to the SDK to describe your integration, but you must not use our trademarks in a manner that implies endorsement, sponsorship, or partnership without our prior written consent, and you must not use them in your own product, package, or company names.
5.3 Feedback
If you provide feedback or suggestions about the SDK, you grant Internetivo the right to use that feedback freely, without obligation or compensation.
6. Warranty Disclaimer, Liability, and Indemnity
6.1 No Warranty
The SDK is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, security, and non-infringement. We do not warrant that the SDK will be uninterrupted, error-free, or compatible with any particular environment.
6.2 Limitation of Liability
To the maximum extent permitted by applicable law, Internetivo's total aggregate liability to you arising out of or in connection with the SDK or these SDK Terms shall not exceed the greater of (a) the total fees you paid to Internetivo in the 12 months preceding the claim, or (b) EUR 500. Internetivo shall not be liable for any indirect, incidental, special, exemplary, or consequential damages, including loss of profits, loss of data, or loss of goodwill. Internetivo is not liable for the acts or omissions of Nodes or third-party providers, including the maintainers of third-party components.
6.3 Indemnification
You will indemnify, defend, and hold harmless Internetivo, its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your application, your use of the SDK, your breach of these SDK Terms, your violation of any law, or your infringement of the rights of any third party.
7. Export Control and Sanctions
You must comply with all applicable export control, trade, and economic sanctions laws of the European Union, the Republic of Cyprus, and any other applicable jurisdiction. You represent that you are not located in, under the control of, or a national or resident of any country or party subject to applicable sanctions that would prohibit your use of the SDK, and you must not use or export the SDK in violation of such laws.
8. General
8.1 Termination
These SDK Terms remain in effect while you use the SDK. The licence terminates automatically if you breach these SDK Terms, the API Terms, or the master ToS, or if we discontinue the SDK. On termination you must cease using the SDK and remove it from your systems, subject to any third-party component licences that survive independently.
8.2 Incorporation and Survival
The API Terms, the AUP, and the master ToS are incorporated by reference. Provisions concerning intellectual property, warranty disclaimers, limitation of liability, indemnification, export control, and governing law survive termination. The survival, severability, no-waiver, entire-agreement, assignment, force majeure, and change-notice provisions of the master ToS apply to these SDK Terms.
8.3 Changes to These SDK Terms
We may update these SDK Terms from time to time. We will notify of material changes at least 30 days before they take effect where practicable. Continued use of the SDK after the effective date constitutes acceptance.
8.4 Governing Law and Jurisdiction
These SDK Terms are governed by the laws of the Republic of Cyprus and EU law where applicable. Subject to the arbitration clause in the master ToS, you submit to the exclusive jurisdiction of the courts of Cyprus.
Experimental Features, Assumption of Risk, and Waiver
The Platform and its features are provided on an "as is" and "as available" basis and may include experimental, beta, preview, or in-development features that may be incomplete, may change or be withdrawn at any time, may not work as intended, and may produce errors. You use the Platform and any such feature at your own risk, and you are responsible for keeping your own backups of important data and files. To the maximum extent permitted by applicable law, Internetivo gives no warranty of any kind and has no liability for, and you release Internetivo from and waive any claim arising from, software bugs or defects, errors, downtime or unavailability, loss of or damage to data or files, failed or delayed transactions, or any other technical issue, including any direct, indirect, or consequential loss. You agree to report any bug, defect, or issue, and any feedback, by opening a support ticket; doing so does not entitle you to any payment, credit, refund, or compensation.
To the maximum extent permitted by applicable law, you are not entitled to and waive any claim for reimbursement, compensation, refund of fees, damages, returns, or other monetary relief from Internetivo arising from these matters. This does not apply to your Credit balance, any Payouts owed to you, or amounts held in escrow for your tasks, which are handled under the Terms of Service and the Refund and Cancellation Policy. Nothing in this section excludes any liability that cannot be excluded under applicable law (including for death or personal injury caused by negligence, fraud, or gross negligence) or your mandatory rights as a consumer or data subject.
